Agreement Between User and Pixel Plush

Welcome to Pixel Plush. The Pixel Plush platform (the “Site”) is comprised of various web pages operated by Pixel Plush LLC (“Pixel Plush”). Pixel Plush is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms”). Your use of Pixel Plush constitutes your agreement to all such Terms. Please read these Terms carefully and keep a copy for your reference.

Pixel Plush is an e-commerce and entertainment brand designed to provide information about plush products, arcade merchandise, and related offerings, as well as to sell products directly to consumers and operators.

Visiting Pixel Plush or sending emails to Pixel Plush constitutes electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications that we provide to you electronically—via email or within the Pixel Plush platform—satisfy any legal requirement that such communications be in writing.

Certain services made available via Pixel Plush are delivered by third-party organizations. By using any product, service, or functionality originating from Pixel Plush, you acknowledge and consent that Pixel Plush may share such information and data with any third party with whom Pixel Plush has a contractual relationship to provide the requested product, service, or functionality on behalf of Pixel Plush users and customers.

No Unlawful or Prohibited Use / Intellectual Property

You are granted a non-exclusive, non-transferable, revocable license to access and use Pixel Plush strictly in accordance with these Terms of Use. As a condition of your use of the Site, you warrant to Pixel Plush that you will not use the Site for any purpose that is unlawful or prohibited by these Terms.

All content included as part of the Service—such as text, graphics, logos, images, videos, and software—is the property of Pixel Plush or its suppliers and is protected by copyright and other laws governing intellectual property and proprietary rights.

You agree not to modify, publish, transmit, reverse engineer, create derivative works, or otherwise exploit any of the content found on the Site. Pixel Plush content is not for resale. You may use protected content solely for your personal use and may make no other use without the express written permission of Pixel Plush or the applicable copyright owner. You agree that you do not acquire any ownership rights in any protected content by accessing Pixel Plush.

International Users

The Service is controlled, operated, and administered by Pixel Plush from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws. You agree not to use Pixel Plush content in any country or in any manner prohibited by any applicable laws or regulations.

Indemnification

You agree to indemnify, defend, and hold harmless Pixel Plush, its officers, directors, employees, agents, and third parties for any losses, costs, liabilities, and expenses (including reasonable attorney’s fees) relating to or arising from your use of Pixel Plush or its services, any user content or postings made by you, your violation of these Terms, or your violation of any third-party rights or applicable laws. Pixel Plush reserves the right, at its own cost, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with Pixel Plush in asserting any available defenses.

Liability Disclaimer

The information, products, and services included in or available through Pixel Plush may include inaccuracies or typographical errors. Changes are periodically added to the information herein. Pixel Plush LLC and/or its suppliers may make improvements and/or changes at any time.

Pixel Plush LLC and/or its suppliers make no representations about the suitability, reliability, availability, timeliness, or accuracy of the information, products, services, and related graphics contained within Pixel Plush for any purpose. To the maximum extent permitted by applicable law, all such materials are provided “as is” without warranty or condition of any kind. Pixel Plush LLC and/or its suppliers hereby disclaim all warranties and conditions, including all implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement.

To the maximum extent permitted by applicable law, in no event shall Pixel Plush LLC and/or its suppliers be liable for any direct, indirect, punitive, incidental, special, consequential, or other damages whatsoever, including without limitation damages for loss of use, data, or profits, arising out of or in any way connected with the use or performance of Pixel Plush, the delay or inability to use the platform or related services, or otherwise arising out of the use of Pixel Plush, whether based on contract, tort, negligence, strict liability, or otherwise, even if Pixel Plush LLC or any of its suppliers has been advised of the possibility of damages.

If you are dissatisfied with any portion of Pixel Plush or any of these Terms of Use, your sole and exclusive remedy is to discontinue using Pixel Plush.

Termination / Access Restriction

Pixel Plush reserves the right, in its sole discretion, to terminate your access to the platform or any related services at any time, without notice. This agreement is governed by the laws of the State of Iowa, and you hereby consent to the exclusive jurisdiction and venue of courts in Iowa in all disputes arising from or relating to the use of Pixel Plush.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and Pixel Plush as a result of this agreement or use of the Site. Pixel Plush’s performance of this agreement is subject to existing laws and legal process, and nothing contained herein shall limit Pixel Plush’s right to comply with governmental, court, and law enforcement requests regarding your use of Pixel Plush or information provided to or gathered by Pixel Plush.

If any part of this agreement is determined to be invalid or unenforceable, the remaining provisions shall continue in full effect.

Changes to Terms

Pixel Plush reserves the right, in its sole discretion, to modify or replace these Terms at any time. The most current version of the Terms will supersede all previous versions. Pixel Plush encourages you to periodically review the Terms to stay informed of any updates.

Pixel Plush Text Messaging Terms of Use

By opting in to or using the “Text Message Service” (as defined below) provided by Pixel Plush, you agree to abide by these Terms & Conditions. [IF APPLICABLE: THIS AGREEMENT IS SUBJECT TO BINDING ARBITRATION AND A WAIVER OF CLASS ACTION RIGHTS AS DETAILED BELOW.]

This agreement is between you and Pixel Plush LLC. Any references to “Pixel Plush,” “we,” “our,” or “us” refer to Pixel Plush LLC, located at 2110 Dixon St, Des Moines, IA 50316.

Definitions

“Opting In” refers to requesting, enrolling in, agreeing to, signing up for, acknowledging, or otherwise consenting to receive one or more text messages from us.
“Text Message Service” refers to any arrangement where we send one or more messages to your mobile phone number, including SMS, MMS, or similar messaging protocols.

Consenting to Text Messaging

By consenting to receive text messages from Pixel Plush, you agree to these Text Messaging Terms and Conditions, as well as our [General Terms & Conditions] and [Privacy Policy], which are incorporated herein by reference.

E-Sign Disclosure

By agreeing to receive text messages, you consent to the use of an electronic record to document your agreement. You can withdraw your consent to receive text messages at any time by replying “STOP.”

Text Message Service Privacy Policy

We respect your privacy. The information you provide through this service will only be used to send you mobile messages and respond to your inquiries. This may involve sharing your information with platform providers, carriers, and vendors who assist in delivering the messages.
We do not sell, rent, or transfer your phone number or customer information to third parties for profit.

Costs of Text Messages

Pixel Plush does not charge for messages sent or received through our Text Message Service. However, message and data rates may apply based on your mobile carrier plan.

Frequency of Text Messages

This Text Messaging Service may include person-to-person communication between you and our staff. You may receive an initial confirmation message followed by ongoing messages depending on your interactions with us. Message frequency may vary.

Opting Out of Text Messages

If you no longer wish to receive text messages, reply with “STOP,” “QUIT,” “END,” “CANCEL,” or “UNSUBSCRIBE.” After unsubscribing, you may receive a confirmation message to acknowledge your opt-out.
